Terms of Service

These Terms of Service ("Terms") govern your access to and use of Lazibuzz (the "Service"), available at https://lazibuzz.com. The Service is operated by QIMI AI, a sole proprietorship registered in British Columbia, Canada ("Lazibuzz", "we", "us", or "our").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

Lazibuzz lets you upload content once and publish or schedule it to multiple connected social media accounts through those platforms' official APIs. The specific platforms, features, and limits available may change over time.

We may add, modify, suspend, or discontinue features at any time. We will try to give reasonable notice of material changes that adversely affect you.

3. Your account

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must provide accurate account information and keep it up to date.
• Notify us promptly at gu778@hotmail.com if you suspect unauthorized use of your account.

4. Connecting third-party platforms

• To publish content, you connect third-party social media accounts and grant Lazibuzz permission to act on your behalf through each platform's official API.
• Your use of each connected platform is governed by that platform's own terms and policies. You are responsible for complying with them, including rules on content, automation, frequency, and acceptable use.
• You authorize Lazibuzz to access, store (in encrypted form), and use the access tokens and account data needed to provide the Service, as described in the Privacy Policy.
• You may disconnect a platform at any time. We are not responsible for actions taken by a platform, including suspension or restriction of your platform account, rate limiting, content rejection, or changes/discontinuation of a platform's API.

5. Your content

• You retain all ownership rights in the content you upload ("Your Content").
• You grant Lazibuzz a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transcode, transmit, and publish Your Content solely to provide the Service at your direction (for example, to publish it to the platforms you select).
• You represent and warrant that you own or have all necessary rights to Your Content and that publishing it does not violate any law or third-party rights.

6. Acceptable use

You agree not to use the Service to:

• Publish content that is illegal, infringing, defamatory, harassing, hateful, deceptive, or otherwise violates any applicable law or a connected platform's policies;
• Send spam or engage in coordinated inauthentic behavior, or otherwise abuse a platform's automation or posting rules;
• Infringe intellectual property or privacy rights;
• Upload malware or attempt to gain unauthorized access to the Service or others' accounts;
• Reverse engineer, scrape, overload, or interfere with the Service or its infrastructure;
• Resell or provide the Service to third parties except as expressly permitted.

We may remove content or suspend or terminate accounts that violate these Terms or that create legal or security risk.

7. Fees, billing, and paid platform usage

• Some features and plans are paid. Pricing and plan details are presented at sign-up or upgrade and may change with notice.
• Paid subscriptions renew automatically for the chosen period unless cancelled before renewal. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Usage-based platform/API costs: some connected platforms or their APIs may charge usage-based fees for certain actions. Where applicable, the cost is shown before you publish and may be passed through to you and/or counted against per-workspace usage limits. You are responsible for understanding and authorizing these costs before publishing.
• Except where required by law, fees are non-refundable.
• You are responsible for any applicable taxes.

8. Publishing reliability and "uncertain" outcomes

You acknowledge that publishing depends on third-party platforms that we do not control. Network errors, platform outages, rate limits, or API changes can cause a publish to fail or to have an unknown result even after a request is sent.

For platforms that charge per action and/or do not support an idempotency key (such as X and LinkedIn), Lazibuzz will not automatically retry a request whose outcome is unknown, in order to avoid duplicate posts and duplicate charges. Instead, the post may be marked as needing confirmation, and you may be asked to confirm before any retry. You accept that, in rare cases, a publish may be charged but not completed, or its status may require manual confirmation, and that Lazibuzz is not liable for such platform-side outcomes.

9. Intellectual property

The Service, including its software, design, and trademarks (including "Lazibuzz"), is owned by QIMI AI and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without prior written permission. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

10. Third-party services

The Service integrates with and links to third-party platforms and providers. We are not responsible for the availability, content, terms, or practices of those third parties. Your use of them is at your own risk and subject to their terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PUBLISH WILL SUCCEED ON A GIVEN PLATFORM.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QIMI AI AND LAZIBUZZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PLATFORM ACCOUNTS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE PAID NOTHING.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless QIMI AI and Lazibuzz from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, create legal or security risk, or fail to pay applicable fees. Upon termination, your right to use the Service ends, and we will handle your data as described in the Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in British Columbia, Canada for any dispute, subject to any mandatory consumer-protection rights you have in your place of residence.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version at this URL and update the "Last updated" date. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
